Terms of Service

1. Acceptance of Terms

By accessing or using Shotref ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms.

2. Description of Service

Shotref is a web-based platform that allows freelance designers to create mood boards, upload images, share their work with clients, and collect feedback through comments.

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. You may not use the Service if you are prohibited from receiving services under applicable law.

4. Subscription Plans and Billing

Shotref offers both free and paid subscription plans:

Free Plan: Limited to 3 boards and 50 images, available forever at no cost
Pro Plan: Unlimited boards and images for €9/month (excluding VAT)

Payment and Billing:

Subscriptions are billed monthly in advance
All payments are processed securely through Stripe
VAT is automatically calculated based on your location
You can cancel your subscription at any time
No refunds are provided for partial billing periods
Upon cancellation, you retain access until the end of your current billing period

We reserve the right to change our pricing with 30 days notice. Price changes will not affect existing subscriptions until their next renewal.

5. User Content and Intellectual Property

Your Content: You retain all rights to the content you upload to Shotref, including images, text, and other materials ("User Content"). By uploading User Content, you grant us a limited license to:

Store and display your User Content as necessary to provide the Service
Share your User Content with recipients you designate through sharing features

This license terminates when you delete your content or account, except for content that has been shared with others.

Content Responsibility: You are solely responsible for your User Content and represent that:

You own or have the necessary rights to upload and share your User Content
Your User Content does not infringe on the intellectual property or privacy rights of others
Your User Content complies with all applicable laws and regulations

6. Acceptable Use Policy

You agree not to use the Service to:

Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
Upload content that infringes on intellectual property rights, privacy rights, or other rights
Upload malware, viruses, or other malicious code
Attempt to gain unauthorized access to other users' accounts or data
Use the Service to spam, phish, or distribute unsolicited communications
Abuse, harass, or harm other users or our staff
Circumvent usage limits or other technical restrictions
Use automated scripts or bots without our written permission

We reserve the right to suspend or terminate accounts that violate this Acceptable Use Policy.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Third-Party Services

The Service uses third-party services including:

Stripe for payment processing
Kinde for authentication
Cloud storage providers for file hosting

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the actions or policies of third-party services.

9. Disclaimers and Limitation of Liability

Service Availability: The Service is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

Data Loss: While we take reasonable measures to protect your data, we are not responsible for data loss or corruption. You are responsible for maintaining backups of your User Content.

Limitation of Liability: To the maximum extent permitted by law, we shall not be liable for:

Any indirect, incidental, special, or consequential damages
Loss of profits, data, or business opportunities
Damages arising from your use or inability to use the Service

Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

10. Termination

You may terminate your account at any time by contacting us or using the account deletion feature.

We reserve the right to suspend or terminate your account at any time for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment of subscription fees
Inactivity for an extended period

Upon termination, your right to use the Service will immediately cease. We may delete your account and User Content, though we may retain certain information as required by law or for legitimate business purposes.

11. Indemnification

You agree to indemnify and hold harmless Shotref, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any rights of another party

12. Governing Law and Disputes

These Terms are governed by the laws of France, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts of France.

13. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.
